Restated Bylaws
SCORE Mid-Columbia Chapter 590
ARTICLE I
NAME
The name of this organization shall be the Mid-Columbia, Chapter 590 of the Service Corps of Retired Executives (SCORE). SCORE is a non-profit corporation organized for charitable and educational purposes, and each chapter is a unit member of the corporation. SCORE is also a business development resource of the Small Business Administration, which sponsors and financially supports SCORE operations.
ARTICLE II
PURPOSE
The purpose of this organization shall be to strengthen the U. S. small business community through its experienced volunteer SCORE members, who provide high quality technical and managerial counseling and guidance to prospective and existing small business owners and non-profit organizations in the handling of business problems.
ARTICLE III
PRINCIPLES
Section 1 . The SCORE program concentrates on the individual business owner or manager. SCORE members shall assist their clients in a balanced approach to management and enhance the potential for the success of business through quality education and counseling with regard to specific problems in such areas as finance, personnel, choice of business entity, licensing, publicity, marketing, engineering, production and merchandizing; also to urge when desirable that the client seek sound advisory and useful
relationships with other business specialists and associates.Section 2. This Chapter and its individual members shall maintain
high quality standards of service and shall adhere to the SCORE Code of Ethics and other SCORE rules as described in the SCORE Standard Operating Manual (SOM) and other SCORE publications. SCORE activities involve a public trust and public service. Information on a client's business imparted to SCORE or contained in a counselors' reports shall be held in strictest confidence, except as the client authorizes its disclosure.
ARTICLE IV
MEMBERS
Qualified volunteers who have been properly screened and processed by the chapter and the Small Business Administration shall be accepted as members of this SCORE Chapter without regard to race, sex, religion, color, national origin, age, marital status, handicap or citizenship. Members may be terminated if the volunteer does not fulfill his/her SCORE obligations. Each member shall be either on an ACE or SCORE roster. ACE members are those who are gainfully employed for more than twenty hours a week.
ARTICLE V
OFFICERS
Section 1. The officers of the Chapter shall be a Chair, the past Chair, not to exceed 3 Vice Chairs, a Secretary, and a Treasurer to be elected at the September annual meeting of the Chapter.Section 2. The officers shall be elected by a voice vote unless a request is made by a member for a written ballot. A simple majority of those present and voting is required for election. An officer may be re-elected in the following year to succeed him/herself.
Section 3. In the event an officer resigns or is otherwise unable to serve for the remainder of a term, the Chair shall appoint a replacement to serve for the remainder of the term. In the even the Chair should resign or be unable to otherwise serve, the Vice Chair with the most seniority in SCORE shall become the Chair until the next annual election.
ARTICLE VI
ORGANIZATION
Section 1. The Chapter shall be divided into geographical areas at the discretion of the Chair. The Chapter Chair shall, within 2 weeks of his election ascertain and publish a list of the geographical areas, including the cities within each area, and disseminate that list to all Chapter members.
Section 2. Each geographical area shall be supervised by a coordinator appointed by the Chair. Each coordinator shall see that the
scheduling of client conferences is provided for and that counselors are assigned to the respective counseling locations, call for meetings of those members within his/her area on a monthly or some other regular basis, review the reports of members, be responsible for recruitment and the training of new members and the continued education of old members, assist in the
transmission of claims for reimbursement to the Chair or District office, make such reports to the Chair as may be requested, and perform such other duties as the Chair may request. The coordinator together with the Chapter Chair, or such persons as he/she may designate, shall be responsible for workshops held in a geographical area.
ARTICLE VII
DUTIES OF OFFICERS
Section 1. The Chapter Chair shall manage the affairs of the Chapter in accordance with the principles and policies of SCORE. Those duties include, but are not limited to:
a. Preside at Chapter meetings.
b. Appoint necessary committees and other Chapter functionaries/representatives as may be necessary or desirable.
c. Appoint area coordinators.
d. Review at least annually the performance of all appointees including the area coordinators.
e. Maintain close contact with the District Manager and SBA Coordinator.
f. Keep all members informed on SCORE matters and Chapter activities.
Section 2. The Chapters Vice Chair(s) shall assist the Chair as may be requested.
Section 3. The Chapter Secretary shall keep minutes of all Chapter meetings and distribute minutes to Chapter members.
Section 4. The Chapter Treasurer shall maintain the financial records of the Chapter, including the checkbook and bank statements, and render a report at each Chapter meeting. The financial records of the Chapter shall at reasonable times be made available for inspection by any Chapter member. Additionally the Treasurer shall maintain a record of the Chapter's capital equipment including computers, file cabinets and the like.ARTICLE VIII
MEETINGS
Section 1. The annual meeting of the Chapter shall be held in September of each year, the date to be fixed by the Chair. In addition one Chapter meeting shall be held in the spring of the year at such time and place as the Chair may designate.
Section 2. The Chair may call a special meeting of the Chapter to be held at such time and place as he/she may designate.
Section 3. The Chair shall give to the membership at least ten (10) days written notice of all Chapter meetings.
ARTICLE IX
AMENDMENTS
These Restated Bylaws may be amended at any regular meeting of the Chapter by a two thirds (2/3) vote of a quorum of at least nine members present and voting. Provided, however, each member shall be given a copy of the proposed amendment at least ten (10) days prior to such meeting.Adopted as the Bylaws of Chapter 590 at the September 2000 annual meeting.
